These Terms of Service (“Terms”) govern your access to and use of BoltPipeline’s website, software products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility & Use

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You may use the Services only in compliance with applicable laws and regulations.
• You are responsible for all activity performed under your account and credentials.

2. Services

BoltPipeline provides a SQL-first data pipeline platform that helps organizations generate validated, certified, and production-ready pipeline artifacts. Where agreed, BoltPipeline may also provide consulting, implementation, or advisory services under a separate written agreement or statement of work.

The Services may evolve over time. We may modify, enhance, or discontinue features, provided such changes do not materially degrade paid services during an active subscription term.

3. Customer Data & Boundaries

• Your data remains within your environment. BoltPipeline’s execution agent operates inside your infrastructure and communicates only metadata, configuration, and operational signals required to provide the Services.
• You retain all ownership rights to your data, pipelines, and generated artifacts.
• You grant BoltPipeline a limited right to process metadata solely for operating, securing, and improving the Services.

4. Acceptable Use

You agree not to misuse the Services. This includes attempting to gain unauthorized access, interfering with system integrity, introducing malicious code, or using the Services in violation of laws, sanctions, or third-party rights.

5. Intellectual Property

The Services, including software, documentation, trademarks, and other materials, are owned by BoltPipeline or its licensors. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from them.

6. Fees & Payment

Fees for paid Services are governed by applicable pricing, order forms, or agreements. Consulting or professional services are governed by separate written agreements. Fees are non-refundable except as required by law. We may suspend Services for non-payment.

7. Confidentiality

Each party agrees to protect the other’s confidential information using reasonable safeguards and to use such information only as necessary to perform under these Terms or a separate agreement.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind. BoltPipeline does not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, BoltPipeline is not liable for indirect, incidental, or consequential damages. Our total liability arising from the Services is limited to the amounts paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold BoltPipeline harmless from claims arising out of your use of the Services or violation of these Terms.

11. Termination

Either party may terminate according to applicable agreements. We may suspend or terminate access for violations of these Terms. Provisions related to ownership, confidentiality, and liability survive termination.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated where required. Continued use of the Services constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
